Derbyshire hold the sight edge over Gloucestershire going into the final day's play at Cheltenham.
Resuming on 216-2, the visitors were in control when they took a first-innings lead on 360-5, helped by Wayne Madsen (80) and Shivnarine Chanderpaul (73).
Wes Durston made 58 but they slipped to 372 all out as Benny Howell took 4-68.
Mark Footitt (2-29) was key as the hosts fell to 40-4, before Will Gidman added 39, but went just before stumps as they closed 121 ahead on 137-5.
Hamish Marshall was the mainstay of the Gloucestershire innings and he ended unbeaten on 43.
Gloucestershire all-rounder Will Gidman:
"We believe a 200 lead would give us a good opportunity to win.
"The wicket is starting to turn more and the new ball has nipped about in each innings."
Derbyshire all-rounder Wes Durston:
"It's going to be an interesting final day.
"We aren't setting ourselves targets, but we need to get Marshall early as he has played well for a couple of hours.
"If we can open up that end and bowl well in the morning, we will give ourselves every chance."
